MEMC provides custom software development services, including web server solutions, email solutions, and custom web applications. The specific details, deliverables, timelines, and costs of each project will be outlined in a separate agreement between MEMC and the client.

4. Intellectual Property

All intellectual property rights in the website and our services, including but not limited to copyright, trademarks, and trade secrets, are owned by MEMC or our licensors.

Upon full payment for our services, clients will receive ownership rights to the deliverables as specified in the project agreement. However, MEMC retains ownership of all pre-existing materials, tools, and frameworks used in the development process.

5. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information necessary for the project
• Reviewing and providing feedback on deliverables in a timely manner
• Making payments according to the agreed schedule
• Obtaining all necessary permissions and licenses for any third-party materials provided to MEMC

6. Payment Terms

Payment terms will be specified in the project agreement. Generally, we require a deposit before work begins, with remaining payments made at agreed milestones or upon completion of the project.

Late payments may incur additional fees and result in suspension of services.

7. Limitation of Liability

To the maximum extent permitted by law, MEMC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our website or services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our website
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our website

8. Termination

Either party may terminate the service agreement under the conditions specified in the project contract. Upon termination, the client shall pay for all services rendered up to the termination date.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

10. Changes to Terms

MEMC reserves the right to modify these Terms & Conditions at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our website or services after such changes constitutes your acceptance of the new Terms & Conditions.
